Terms and Conditions

1. Preamble

These General Terms and Conditions of Sale (hereinafter “GTCS”) govern the contractual relationship between:

MANOLI CORP LLC, operating under the trade name MANOLI AGENCY, 1209 Mountain Rd Pl NE, Ste H, Albuquerque, NM 87110, USA, represented by Bastien Manoli (hereinafter “the Agency”)

and any natural or legal person (hereinafter “the Client”) requesting a service in:

  • Branding

  • Visual identity

  • Art direction

  • Creation of digital content

  • Digital strategy

  • Showcase website design

  • Digital communication services

Any order implies full and complete acceptance of these GTCS.

2. Purpose

The GTCS define:

  • the ordering process,

  • the conditions for executing the services,

  • the obligations of both parties,

  • the payment policy,

  • the refund policy,

  • delivery deadlines,

  • the rules for using the deliverables.

3. Quotes and Orders

Every service is subject to a detailed quote sent by email.

The quote specifies:

  • the exact scope of the service

  • the price

  • the estimated deadlines

  • the delivery procedures

  • where applicable, a schedule

The quote is considered accepted when:

  • the Client validates it in writing,
    and/or

  • proceeds with payment via Stripe/Payfunnels,
    and/or

  • signs a document or acceptance form (if applicable).

4. Prices and Payment Terms

Prices are expressed in USD or EUR depending on the Client’s location.

4.1 Payment Methods

Payments are made:

  • via Stripe (credit cards, Apple Pay, Google Pay, etc.),

  • or via PayFunnels, a platform using Stripe as the processor,

  • or by bank transfer if stated in the quote.

No other payment processor is used.

4.2 Payment Security

All transactions are encrypted and comply with Stripe’s PCI-DSS standard.

4.3 Terms

Unless otherwise stated in the quote:

  • Payment must be made before work begins.

  • Monthly retainers are billed each month on a fixed date.

5. Service Execution

The Agency begins work only:

  • after quote approval
    OR

  • after payment
    OR

  • after both (depending on the project structure)

The Client agrees to provide:

  • the necessary information

  • useful documents

  • essential access

  • constructive feedback within reasonable timeframes

A delay from the Client results in an equivalent delay in delivery.

6. Delivery Timeframes

Average timeframes:

  • Visual identity: 5 to 10 days

  • Showcase website: 1 to 3 weeks

  • Digital content: 48 to 72 hours

A precise schedule is provided before the start.

Deadlines may vary depending on:

  • workload volume,

  • Client feedback,

  • additional requests.

7. Monthly Support

At the Client’s request, monthly support is available for:

  • digital strategy

  • content creation

  • optimization of digital presence

  • communication follow-up

It results in clearly stated monthly billing.

8. Deliverables and Formats

Deliverables may include, depending on the service:

  • PDF

  • PNG / JPG

  • SVG / EPS

  • Source files (AI, PSD, EPS)

  • Visual identity documents

  • Optimized digital content

  • Website deployment

  • Access transfer or documentation

Deliverables are only provided once the invoice has been fully paid.

9. Revisions

The number of revisions included is specified in the quote.

Any additional revision not included in the quote may be billed separately.

10. Refund Policy

Refunds are possible ONLY if the work has NOT yet begun.

A refund cannot be issued when:

  • analysis has started,

  • design work has begun,

  • elements have been produced,

  • a schedule has been engaged,

  • resources have been allocated.

Services provided by MANOLI AGENCY are custom-made, intangible, and non-recoverable.

No refunds are offered for:

  • monthly services already underway,

  • deliverables already provided,

  • services partially or fully consumed.

11. Client Obligations

The Client agrees to:

  • provide accurate information

  • respect feedback deadlines

  • not use the creations outside the scope of the quote

  • not demand commercial results (no performance guarantee is given)

Any false or missing information may result in delays or inability to perform the service.

12. Agency Obligations

The Agency agrees to:

  • provide professional work

  • respect announced deadlines when the Client provides all materials on time

  • deliver work in accordance with the quote

  • inform the Client in case of unforeseen circumstances or necessary additional time

13. Intellectual Property

Before full payment:

All deliverables remain the exclusive property of the Agency.

After full payment:

The Client obtains a usage license or full transfer, depending on what is stated in the quote.

The Agency reserves the right to use certain works in its:

  • portfolio

  • book

  • website

  • social media

(unless expressly requested otherwise in writing by the Client).

14. Liability

MANOLI AGENCY cannot be held liable for:

  • misuse of deliverables,

  • bugs related to third-party services (hosting, plugins, CMS, etc.),

  • commercial results expected by the Client,

  • delays caused by the Client,

  • loss of data due to improper handling by the Client.

15. Personal Data

The data collected is used solely to:

  • respond to the Client’s requests,

  • prepare quotes and invoices,

  • perform the service.

No data is sold or transferred.

The Client may request deletion of their data at: contact@manoli-corp.com

16. Cookies

Some website features use technical and analytical cookies.
The Client may disable them directly in their browser settings.

17. Applicable Law

Contractual relations are governed by the laws of the State of New Mexico (USA).

For European consumers, data protection laws (GDPR) also apply.

18. Disputes

In case of a dispute, an amicable resolution will be prioritized.
If no resolution is reached, the competent courts will be:

  • those of New Mexico (USA),
    OR

  • those of the consumer’s country of residence (if applicable for EU consumers).
